Apostille Requirements for Corporate Records
Business documents do not all follow the same authentication route. The correct process depends primarily on whether the record was issued by the New York Department of State or privately executed by the company.
Official Corporate Filings
Records such as Certificates of Incorporation, Articles of Organization, amendments, mergers, and other filed documents may be obtained as certified copies from the New York Department of State.
Certificates of Status
A Certificate of Status may be requested when a foreign authority needs evidence regarding the entity’s current status with the New York Department of State.
Internal Company Documents
Privately executed records such as resolutions, corporate statements, agreements, minutes, or authorizations may require an appropriate company representative’s signature and notarization before authentication.
Authentication Review
Notarized company documents generally require County Clerk certification of the notary before submission to the New York Department of State. Official government-issued records may follow a different route.
